Terms of Service

Welcome to SPJ Teak Furniture ("SPJ", "we", "our", or "us"). These Terms of Service govern your access to and use of https://spjteakfurniture.com and our products and services.

By accessing our website or placing an inquiry or order, you agree to these Terms.

1. Company Information

SPJ Teak Furniture is operated by CV Sumber Pinus Jaya, an Indonesian manufacturer specializing in premium solid teak furniture for wholesale, commercial, hospitality, and OEM/ODM projects.

2. Products

Our products are manufactured primarily from natural solid teak wood.

Because wood is a natural material, each product may have variations in:

  • Grain pattern

  • Color

  • Texture

  • Natural knots

  • Wood movement

These characteristics are not considered manufacturing defects.

3. Quotations

All quotations are:

  • Subject to product specifications

  • Subject to quantity requested

  • Subject to material availability

  • Valid only for the period stated in the quotation

Prices may change without prior notice before an order is confirmed.

4. Orders

An order becomes effective only after:

  • Both parties agree on specifications;

  • Production drawings (if applicable) are approved;

  • Required deposit has been received.

Any modification after production has started may incur additional costs and revised delivery schedules.

5. Custom & OEM Manufacturing

SPJ specializes in OEM and custom manufacturing.

Customers are responsible for ensuring that:

  • Drawings

  • Dimensions

  • Materials

  • Finishes

  • Packaging requirements

are accurate before production begins.

Approved specifications cannot be changed once manufacturing has commenced.

6. Payment Terms

Payment terms are specified in each Proforma Invoice or Sales Agreement.

Production may begin only after the agreed deposit has been received.

The remaining balance must be settled according to the agreed payment schedule before shipment unless otherwise agreed in writing.

7. Production & Delivery

Production timelines depend on:

  • Order quantity

  • Product complexity

  • Material availability

  • Production schedule

Estimated production dates are provided in good faith but are not guaranteed.

SPJ shall not be liable for delays caused by circumstances beyond our reasonable control.

8. International Shipping

Shipping schedules depend on:

  • Shipping line availability

  • Port operations

  • Customs clearance

  • Government regulations

  • Force majeure events

Risk transfers according to the agreed Incoterms stated in the sales contract.

9. Inspection

Customers may appoint a third-party inspection company before shipment.

Unless otherwise agreed, products are deemed accepted once shipped.

10. Warranty

SPJ warrants that products are manufactured according to the agreed specifications.

This warranty does not cover:

  • Improper installation

  • Misuse

  • Negligence

  • Improper maintenance

  • Normal wear and tear

  • Outdoor weathering without proper care

  • Damage caused during transportation after risk has transferred

11. Returns & Claims

Claims for shortages or manufacturing defects must be submitted within 7 days after receipt of goods, accompanied by:

  • Photographs

  • Detailed description

  • Supporting documentation

SPJ reserves the right to inspect and determine the appropriate resolution.

Custom-made products cannot be returned unless a manufacturing defect is confirmed.

12. Intellectual Property

All website content, including:

  • Photographs

  • Product designs (unless customer-owned)

  • Logos

  • Text

  • Catalogs

  • Technical drawings

remain the intellectual property of SPJ Teak Furniture unless otherwise agreed.

13. Website Use

Users agree not to:

  • Use the website for unlawful purposes;

  • Attempt unauthorized access;

  • Copy or reproduce website content without permission;

  • Interfere with website functionality.

14. Limitation of Liability

To the maximum extent permitted by applicable law, SPJ shall not be liable for indirect, incidental, consequential, or special damages arising from the use of our products or website.

Our total liability shall not exceed the amount paid for the specific order giving rise to the claim.

15. Force Majeure

SPJ shall not be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to:

  • Natural disasters

  • War

  • Fire

  • Pandemic

  • Government restrictions

  • Port congestion

  • Labor disputes

  • Transportation disruptions

16. Governing Law

These Terms shall be governed by the laws of the Republic of Indonesia.

Any disputes shall first be resolved through good-faith negotiation. If no settlement is reached, disputes shall be subject to the jurisdiction of the competent courts in Indonesia.
